FLC: Decision on trading restriction and Notice of stock status

Following Decision No.538/QD-SGDHN dated May 23, 2024, HNX announces the continued trading restriction of FLC stock as follows:
- Base for consideration: Audited Financial Statements 2023
- Reason for continued trading restriction: The Company was late in submitting Audited Financial Statements 2023 more than 45 days from the end of the prescribed information disclosure period
- Other reason: The company is late in submitting the reviewed 2023 semi-annual financial report and the audited 2022 financial report more than 45 days from the end of the deadline to disclose information according to regulations.
​- Trading restriction: be traded on Friday weekly when it is removed from trading suspension
- Applicable law(s): Point b Section 1 Article 34 of the Regulations attached to Decision No.34/QD-HDTV dated 16/11/2022 of the Vietnam Exchange.
Within 15 days from the date the stock is under continued trading restriction as prescribed in Article 1 of this Decision, FLC Group JSC must send a document to the HNX to explain the cause and provide a remedy.
This decision replaces Decision No.1101/QD-SGDHN dated 20/10/2023.

Notice of stock status
On May 23, 2024, HNX announces the status of FLC Group JSC 's shares (stock code: FLC) as follows:
- FLC shares was put under trading restriction according to Decision No.538/QD-SGDHN dated 23/05/2024 because the Company was late in submitting Audited Financial Statements 2022, 2023 and Reviewed Financial Statements 2023 for over 45 days from the end of the prescribed information disclosure period under Points b Section 1 Article 34 of the Regulation attached to Decision No. 34/QD-HDTV dated November 16, 2022 by the Vietnam Stock Exchange; only allowed to be traded on Friday weekly;
- FLC shares are on alert according to Decision No.677/QD-SGDHN dated 07/07/2024 due to the Company has not organized Annual General Meeting 2023 within the maximum period from the end of the fiscal year as prescribed in Clause 2, Article 139 of the Law on Enterprises, in the case of trading restriction under Point b Section 1 Article 33 of the Regulation attached to Decision No. 34/QD-HDTV dated November 16, 2022 by the Vietnam Stock Exchange.
- The company is put under trading suspension according to Decision No. 79/QD-SGDHN dated 24/02/2024 because the company was compulsory delisted due to serious breach of information disclosure and other cases in which the Stock Exchange and the State Securities Commission consider it necessary to delist to protect the interests of investors according to the provisions of Point o, Clause 1, Article 120 of Decree No. 155 /2020/ND-CP dated December 31, 2020 of the government detailing the implementation of a number of articles of the Securities Law, in cases where stocks are subject to suspension of trading as prescribed in Point đ Clause 1 Article 36 Regulations on registration and Management of unlisted securities
