TMS: Board Resolution No.36 on Bond Conversion

The Board of Directors of Transimex-Saigon Corporation announced Board Resolution No.36 dated December 23, 2015 as follows:

Article 1: Approving the conversion plan for TMSCB2014 – Phase 1 on the ending date of the first year from the issue date:

1)    Bond: Convertible bond of Transimex-Saigon Corporation

2)    Bond code: TMSCB2014

3)    Par value: VND100,000/bond

4)    Record date: January 27, 2015

5)    Total issued value: VND100 billion

6)    Record date for the bondholder list to register to convert: January 06, 2016

7)    Time to register for conversion: from January 07, 2016 to January 25, 2016

8)    Conversion price: VND17,332/share

9)    Conversion ratio:

-          Conversion ratio of bonds in Phase 1: 50%

-          Conversion ratio of shares:

10) Number of issue shares in the first conversion phase: maximum 5,769,824 shares

11) In case bondholders do not implement the rights of conversion, the Company will pay the principal corresponding to the bonds not converted. Bondholders will complete procedures to receive the principal of the bonds not converted from January 27, 2016.

Article 2: Approving the payment for the interest of TMSCB2014 bonds:  

1)    Record date for the bondholder list to pay bond interest: January 26, 2016
