IMP: Information on the underwriting agreement with BVSC

On January 03, 2017, Imexpharm Corporation (IMP) and Baoviet Securities Joint Stock Company (BVSC) signed an underwriting services agreement. However, on January 13, 2017, the State Securities Commission issued Document No.267/UBCK-QLCB regarding the underwriting for public offering. Accordingly, pursuant to Article 2 – Provision 9 of Decree No.58/2012/ND-CP dated July 20, 2012 by the Government of Vietnam, the underwriting for IMP shares took place after the State Securities Commission had granted the certificate for public offering.

Therefore, Baoviet Securities Joint Stock Company (BVSC) requested IMP to cancel the underwriting services agreement and to replace with an appendix of advisory agreement as follows:

-  BVSC will become the agent and ensure the distribution of 4,428,771 shares at VND45,000/share, after the deadline of implementation of purchase rights and settlement of the existing shareholders.

-   Advisory fee: 0.1% total value that BVSC receives as agent.
