KDC: Board Resolution on the merger with Vinabico

Kinh Do Corporation announced the board resolution dated January 18, 2013 as follows:

Article 1: The Board of Directors of Kinh Do Corporation approved the draft of agreement to merge Vinabico Joint Stock Company with Kinh Do Corporation. The draft includes main contents as follows:

1. Company merger;
2. Merger conditions;
3. Merger procedures and progress;
4. Share interchange;
5. Rights and obligations of the merging company;
6. Rights and obligations of the merged company;
7. Commitment and guarantee of two parties;
8. Assets transfer and labor use plan;
9. Validity of the agreement;
10. General terms; and
11. Appendix 01 – Basic information about new company.

Article 2: The Board of Directors authorized the CEO to sign the merger agreement with Vinabico Joint Stock Company.
