KSS: Resolution of the BOD

Nari Hamico Minerals Joint Stock Company announced the resolution of the Board of Directors dated December 29, 2011:

Article 1: The Board of Directors decided to delay the change of company name.

Article 2: The Board of Directors decided to temporarily delay the 2010 dividend payment. Because the stock market has not been favorable, stock price has gone down, the stock dividend payment could be badly affect stock of the Company.

Article 3: The plan for change of company name and dividend payment will be decided in the next meeting of shareholders.
