HAI: Resolution of AGM 2011
H.A.I JSC (HOSE: HAI) announced the resolution of Annual General Meeting (AGM) 2011 on December 23, 2011:
1. Approving the audited financial reports of 2011 (audited by UHY), reports by the Board of Directors, the Board of Supervisors and the CEO, with main items as follows:
- Total revenue: VND691,553,258,300
- Profit before tax: VND59,545,179,042
- Plan for 2012 (10/01/2011 – 10/30/2012):
- Revenue target for 2012: VND916,000,000,000
- Profit before tax target for 2012: VND90,440,000,000
- Profit after tax target for 2012: VND67,830,000,000
- Dividend rate: 20%
2. Approving the report of the Board of Supervisors about operations in 2011.
3. Approving shareholders’ opinions about issuing additional shares to raise capital in 2010:
- Volume: 2,899,993 shares, equivalent to VND28,999,930,000. In which:
+ 500,002 undistributed shares (Equivalent to VND5,000,020,000) of the previous issuance were matched with the business license granted with the charter capital of VND150 billion.
+ 2,399,991 shares (Equivalent to VND23,999,910,000) were matched with the business license with the charter capital increased from VND150 billion to VND173,999,910,000.
4. Adjusting the Company’s regulation with new charter capital.
5. Approving the profit distribution for 2011:
- Dividend rate for 2011: 20%, in cash (Temporarily paid).
6. Authorizing the Board of Directors to choose an auditing company.
7. Approving allowances to the Board of Directors and the Board of Supervisors.
8. Allowing the Board of Directors to transfer stake in Mekong River Agricultural Commercial JSC (Dong Thap province)
9. Temporarily using the old store B4 (at 364 Kinh Duong Vuong, Binh Tan district, Hochiminh city) to establish the Product Research and Development Center
- Bonus to the Board of Directors: 10% of the profit before tax exceeding plan.
