DTL: Resolution of the BOD

Dai Thien Loc Corporation (HOSE: DTL) announced the resolution of the Board of Directors dated December 22, 2011:

Article 1: Moving head office:

Article 2: Increasing charter capital:

- Mobilizing another VND16,386,200,000 to raise DTL’s charter capital from VND484,974,700,000 to VND501,360,900,000.

- Old charter capital: VND484,974,700,000

- New charter capital: VND501,360,900,000

- Method of capital increase: Capital raised by converting 26,000 convertible bonds (DTLCB2010) issued by Dai Thien Loc Corporation on July 19, 2010 to shares

Article 3: Adjusting Article 3 and Article 5 of the Company’s regulation

Article 4: Authorizing the CEO and departments to fulfill relating legal procedures

Article 5: The effective date of this resolution is December 22, 2011.
