HHC: Results of general meeting of shareholders 2010
Haiha Confectionery Joint Stock Company (HNX: HHC) has disclosed the results of its Extraordinary General Meeting of Shareholders. The following resolutions were approved:
1. The share issue plan to increase charter capital and use plan of the proceed:
a. Purpose
- To pay for the rent entire rent in the VISP Bac Ninh industry area
b. Issue planning
- Stock type: Common stock
- Par value: VND 10,000 per share
- Total volume of issued shares: 2,737,500 shares
- Total issued par value: VND 27,375,000,000
- Charter capital after the rissue: VND 82,125,000,000
- Issuing method: Public offering
- Subject: The total outstanding shareholders in the list of shareholder on the record date.
- Exercise rate: 2:1 (On the record date, shareholders own two old stocks will be entitled to buy one new share)
- Issuing price: 70% average price of 10 consecutive trading sessions before the record date, if it is higher than VND 20,000 per share the issuing price will be VND 20,000 per share.
- For odd lot and unsold shares: Number of share purchase rights will be rounded down to unit digit. Odd lot shares and undistributed shares will be added to volume of shares to be placed with strategic shareholders.
- Transfer of share purchase right: Share purchase rights can be transferred only once, transfer to the third party is not allowed. Share purchase rights are transferrable only once, not to the third party.
- Tranfer restriction: No
- Proceed: VND 54,750,000,000 (According to expected issue price of VND 20,000 per share)
- Expected exercise time: Quarter 1/2011
c. Use of the proceed:
- To pay for the rent entire rent in the VISP Bac Ninh industry area
2. Listing of the additional shares on HNX
3. Mr Bui Minh Duc will hold director in place of Mr Quach Dai Dac
4. Assign the Board of Diretors to process the share issue plan and other activities related to the issue plan.
