TPH: Results of General Meeting of Shareholders 2010
Hanoi Textbooks Printing JSC has disclosed the results of its General Meeting of Shareholders. The following resolutions were approved:
1. Change in Board of Directors:
- Mr. Le Hong Que will hold Chair of the Board and Manager of the company in place of Mr Nguyen Minh Khang.
- Ms. Do Thi Phuong – Deputy Manager of Education Publisher will hold Director.
2. Operating result 2009:
- Revenue: VND 48.83 bil
- Profit before tax: VND 2.1 bil
- Dividend payment: 6%
3. Operating plan 2010:
- Revenue: VND 50 bil
- Profit before tax: VND 2.9 bil
- Dividend payment: 9%
4. Report from the Board of Directors 2009
5. Report from Supervisory Board
6. Audited financial statement 2009
7. Dividend payout ratio of 2009
8. Setting up funds:
- Profit for distribution: VND 1.915 bil
- Financial reserve: VND 96.97 mil
- Reward and welfare fund: VND 387.9 mil
- Bonus to the management board: VND 96.97 mil
- Dividend payment 6%: VND 1.2 bil
- Retained profit: VND 124 mil
9. Remuneration for the Board of Directors and Supervisory Board 2010: 2.5% of the salary fund of the company in 2010.
10. Chair of the Board currently holds Manager of the company.
