TMT: Resolution on a bonus share issuance

TMT Automobile Joint Stock Company a resolution of the Board of Directors date May 24, 2013 as follows:

-         The meeting approved to issue bonus shares to the existing shareholders.

+             Stock type                          : Common stock

+             Par value                           : VND10,000

+             Estimated issue volume: 2,276,018.88 shares

+             Total value issue              : VND 22,760,188,800

+             Finance resource: the surplus capital until December 31, 2012

+             Objects: the shareholders are in the list recorded

+             Exercise ratio: 100:8 (a shareholder owning 100 shares will get 08 bonus shares)

+             Time of implementation: expected in Quarter 2.2013

-         Plan for fractional and undistributed shares:

+             The distributed shares will be rounded down. The fractional shares which are less than 01 will be canceled.

+             All stock bonus shall been registered for additional depository at VSD and listing on HOSE.

+             The Meeting approved to dissolve a branch in Binh Duong and to set up a branch in Ho Chi Minh City.
