DXG: Board Resolution on Capital Contribution

On May 09, 2013, the Board of Directors of Dat Xanh Real Estate Service & Constructions Corporation issued a decision on the use of contributed capital in Long Dien Real Estate Joint Sotck Company as follows:

Article 1: The Board of Directors approved to contribute 87,216,210,000 dongs to increase its charter capital in Long Dien Real Estate:

-         Number of shares registered to buy: 8,721,621 shares

-         Stock type: common stock

-         Par value: VND 10,000/share

-         Purchase price: VND 10,000/share

-         Value of contribution capital: 87,216,210,000 dongs

-         Charter capital of Long Dien Real Estate Joint Stock Company after contributing capital: 227,992,250,000 dongs (in which DXG contributes 111,716,210,000 dongs or 49% charter capital of Long Dien Real Estate Joint Stock Company).

Article 2: The Board of Directors approved Mr. Tran Cong Luan to represent contributed capital of Dat Xanh Real Estate Service & Constructions Corporation at Long Dien Real Estate Joint Stock Company.
