TIG: Board resolution
ThangLong Invest Group (HNX: TIG) announced the Board resolution approved on 23/11/2011 as follows:
- ThangLong Invest Group currently owns 800,000 shares at its subsidiary, Vietnam Securities Financial Communication JSC (Equaling VND8,000,000,000 at par and 80% of charter capital of the subsidiary). The BOD agrees to transfer 290,000 shares that the Company owns at its subsidiary, which is equivalent to VND2,900,000,000 at par value
- After the transfer, the Company will own 510,000 shares at Vietnam Securities Financial Communication JSC, equaling VND5,100,000,000 at par and 51% of charter capital of Vietnam Securities Financial Communication JSC
- ThangLong Invest Group currently owns 3,600,000 shares at its subsidiary, Thang Long Natural Resources and Real Estates JSC (Equaling VND36,000,000,000 at par and 60% of charter capital of the subsidiary). The BOD agrees to transfer 720,000 shares that the Company owns at its subsidiary, which is equivalent to VND7,200,000,000 at par value
- After the transfer, the Company will own 2,880,000 shares at Thang Long Natural Resources and Real Estates JSC, equaling VND28,800,000,000 at par and 48% of charter capital of Vietnam Securities Financial Communication JSC. Thus, after the transfer, Thang Long Natural Resources and Real Estates JSC is no longer the subsidiary and will become the associate company of ThangLong Invest Group
- ThangLong Invest Group currently owns 300,000 shares at its associate company, Thang Long Culture and Communication JSC (Equaling VND3,000,000,000). The BOD agrees to transfer 300,000 shares that the Company owns at its associate company, which is equivalent to VND3,000,000,000 at par value. After the transfer, Long Culture and Communication JSC will no longer be the associate company of ThangLong Invest Group
Time for completing the transfer: when adjusted Business Registration Certificates are granted to these subsidiaries and associate companies.
