HHC: Results of general meeting of shareholders 2011
Haiha Confectionery Joint Stock Company (HNX: HHC) has disclosed the results of its General Meeting of Shareholders. The following resolutions were approved:
1. Operation results 2010 and operation plans 2011
- Audited financial statement 2010 by An Phu Auditing Company Ltd:
+ Total revenue: VND 530.9 billion
+ Profit before tax: VND 25.2 billion
+ Profit after tax: VND 18.9 billion
- Operation plans 2011:
+ Total revenue: VND 560 billion
+ Profit before tax: VND 27 billion
+ Charter capital: VND 82.125 billion
+ Average per capital income: VND 4.5 million
+ Expected dividend payout ratio: 12%
2. Dividend payment with exercise rate of 15% (Shareholders receive VND 1,500 for every share they own)
3. Additional listing of shares in the seasoned issue on Ha Noi Stock Exchange
4. Report of Board of Directors
5. Report of Supervisory Board
6. Remuneration for Board of Directors and Supervisory Board 2011:
- Remuneration of Board of Directors: VND 18 million/month
- Remuneration of Supervisory Board: VND 6 million/month
7. Selecting Auditor 2011
An Phu Auditing Company Limited is selected as auditor for the Company in 20118. Admendment of the Charter of the company
8. Board of Directors is authorized to perform the following tasks:
- Change in business registration certificate, admendment of charter
- Deciding dividend payout ratio
- Approving relocation project and Constructing Haiha Confectionery Factory in VSIP industrial zone in Bac Ninh
- Establishing new legal entity to carry out projects.
