SSI: Resolution on the conversion price of bond
Sai Gon Securities Incorporation (HOSE: SSI) announced the decision of the Board of Directors on the conversion price of SSICB2010 bonds and the conversion plan as follows:
According to Resolution No.02/2009/NQ-DHDCD dated December 21, 2009 by the Shareholders’ Meeting on the issue of SSICB2010 bonds, SSI issued VND2,000 billion convertible bonds on March 26, 2010. SSICB2010 bonds will mature on March 26, 2011.
On February 28, 2011, the Board of Directors decided to approve that the conversion price of bonds will be adjusted, based on anti-dilution provisions of the issue plan of SSICB2010 convertible bonds, to VND35,639/share.
Conversion plan:
Total value of issued bonds: VND2,000 billion (Based on par value)
Conversion right: The implementation of conversion rights belongs to bondholders. Bondholders may not execute conversion and receive principal.
Conversion date: March 26, 2011
Record date for the bondholder list to execute conversion: March 21, 2011
Deadline to register to execute conversion: March 24, 2011
- Date to pay bond interest (And principal for the bondholders who do not convert bonds): from March 28, 2011
- The number of shares converted from SSICB2010 bonds (If any) will be listed on the Hochiminh Stock Exchange.
