Song Da No. 5 JSC announces the Board Resolution approved on 27/4/2010 as follows:
Seasoned issue to increase charter capital from VND 90 bil to VND 184.5 bil as follow:
- Name of the issuer: Song Da No.5 JSC
- Stock code: common
- Stock type: Common stock.
- Par value: VND 10,000.
- Total volume of shares to be offered: 9,450,000 shares
- Total value of shares to be offered: VND 94,500,000,000
* Bonus share issue:
- Total volume of shares to be offered: 4,500,000 shares
- Total value of shares to be offered: VND 45,000,000,000
- Subject of the issuance: Outstanding shareholders named in registered list at record date for bonus share issue
- Exercise rate: 2 : 1 (Shareholders are entitled to buy 01 new share for every 02 shares they owned. The number of share issued is round down to unit digit)
+ For outstanding shareholders:
- Total volume of shares to be offered: 4,500,000 shares
- Total value of shares to be offered: VND 45,000,000,000
- Subject of the issuance: Outstanding shareholders named in registered list at record date for share purchase rights.
- Exercise rate: 2 : 1 (Shareholders are entitled to buy 01 new share for every 02 shares they owned. The number of share issued is round down to unit digit)
- Price: VND 10,000/ share
- The owner of share purchase rights can transfer his rights once to another person through negotiation, The rights transferred can not be transferred to the third party.
+ For employees:
- Total volume of shares to be offered: 450,000 shares
- Total value of shares to be offered: VND 4,500,000,000
- Offering price: VND 12,000/ share
- Subject of the issuance: Employees (List of employees will be decided by the Board of Director).
+ The odd shares and shares unsold will be determined by the Board of Directors in terms of price and subject of the offering.
