STP: Results of General Meeting of Shareholders 2010

Song Da Industry Trade JSC has disclosed the results of its General Meeting of Shareholders. The following resolutions were approved:

1. Operating result 2009:

- Turnover: VND 178.07 bil

- Revenue: VND 165.78 bil

- Profit before tax: VND 17.73 bil

- Dividend payment: 20% (First round: 10% paid already. The second round 10% will be paid together with first dividend payment 2010 on record date to increase charer capital from 3.5 mil shares to 7 mil shares.)

2. Operating plan 2010:

- Turnover: VND 250 bil

- Revenue: VND 227.54 bil

- Profit before tax: VND 25 bil

- Dividend payment: 20%

* Investment:

- Cacbonatcanci exploiting and processing project, an Phu commune, Luc Yen, Yen Bai, value: VND 191.628 bil

- Construction rock exploiting and processing project, Nui Canh, Luong Son, Hoa Binh, value: VND 33.2 bil

- Real estate project, Tay Mo, Tu Liem, Hanoi, value: VND 2,125.813 bil.

- Industrial infrustructure project, Chuong My, Ha Noi

- Other projects: Industrial infrustructure project  in Thai Nguyen, mining project in Thanh Hoa

6. Dividend payout ratio of 2009

7. Setting up funds:

- Financial reserve: VND 799 mil

- Investment and development fund: VND 6.269 bil

- Reward fund: VND 759.3 mil

- Welfare fund: VND 759.3 mil

- Bonus to the management and assistants of BOD: VND 397.78 mil

8. Remuneration for the Board of Directors and Supervisory Board 2009: 150 mil

9. Remuneration for the Board of Directors and Supervisory Board 2010: 608 mil

10. Increase charter capital from VND 70 bil to 210 bil

- Common stock

- Volume: 14,000,000 shares (7 mil shares to outstanding shareholders, staff: 350,000 shares, others: 6,650,000 shares)

- Price: VND 10,000 /share for outstanding shareholders, VND 15,000/share for staff, The Board of Directors decides the price offered to other subjects.

- Purpose of the proceed: Investment in Urban area project at Tay Mo – Tu Liem – Hanoi

- Exercise time: 2010 – 2011, after the share issue to increase the charter capital to VND 70 bil

11. Amendmend of the charter of the company

12. Management change

- Mr. Le Duy Hieu will hold Director in place of Mr. Dang Hoang Long since 1/4/2010

- Mr. Tran Duc Uyen will hold General Manager in place of Mr. Nguyen Trong Giang since 1/1/2010.
