TYA: Resolution of Annual Meeting 2008
On May 23rd, 2008, Taya Viet Nam held the annual shareholders’ meeting with attendance of 22 shareholders representing 21,722,230 shares (81.74% charter capital). The following issues of the resolution of the meeting were adopted unanimously:
Article 1: Financial report of the fiscal year 2007.

Undistributed profit in 2006 (adjusted): 12,815,439
Profit before tax in 2007: 7,253,619
Profit after tax in 2007: 8,400,286
Total undistributed profit: 21,215,725
Profit in 2007 is distributed to:
- Investment and development fund (10%) 840,029
- Financial reserve fund (5%) 420,014
- Compensation for the Board of Directors and Board of Supervisors (3% of the profit after the distribution to funds) 0
- Dividend (5% charter capital) 13,282,093
Retained profit in 2007: 6,673,589

Article 3: Profit distribution of the year 2007.
Dividend payment for the year 2007 will be in stock and about 5% charter capital.
Article 4: Compensation for the Board of Directors and the Board of Supervisors.
The meeting was unanimous not to pay the compensation in 2007. The compensation in 2008 is expected to be 3% of profit after the company distributes to other funds.
Article 5: Chartered amendment.
The meeting approved the charter amendment according to the statement of the Board of Directors.
Article 6: Selecting 1/3 of members of the Board of Directors and the Board of Supervisors:
The meeting was approved the result as follows:
a. Board of Directors:
Mr. Shen Shang Hung was reelected.
Mr. Shen San Yi was reelected.
b. Board of Supervisors:
Mr. Kuo Lao Fu was reelected.
Therefore, the lists of new Board of Directors and Board of Supervisors are as follows:

Mr. Wang Yen Huang replaced Mr. Chen Ping Sen as Director General and a member of the Board of Directors of TAYA VIET NAM on September 3rd, 2007.
