SSB: Resolution of General Meeting of Shareholders

On July 20, 2021, Southeast Asia Commercial Joint Stock Bank announces the Resolution of General Meeting of Shareholders as follows:

1)      Approving the foreign ownership ratio limit of SeABank is 5%.

2)      Approving the stock issuance for capital increase of 181,311,631 shares to existing shareholders to replace the private placement plan.

3)      Approving the plan for stock issuance for capital increase:

-          Stock type: common share

-          Par value: VND10,000/share

-          Charter capital before the issuance: VND12,087,442,080,000

-          Expected issue volume: 181,311,631 shares

-          Total value of issue (at par value): VND1,813,116,310,000

-          Additional increase charter capital (estimated): 1,813,116,310,000 dongs

-          Issue ratio: 15.0000%

-          Charter capital after the issuance (estimated): VND16,598,000,000,000, equivalent to 1,659,800,000 shares

-          Issuance price: no less than the book value

-          Issuance time: 2021 or 2022.

4)      Approving the amendment, supplement of SeABank’s charter.
