PNJ: Board Resolution _ 23 Nov 2016

Phu Nhuan Jewelry Joint Stock Company announced the Board resolution dated November 23, 2016 as follows:

1. Approving the report on business performance in the first ten months of 2016, estimate for 2016, and plan for 2017 of Phu Nhuan Jewelry Joint Stock Company.
2. Approving to raise the charter capital of subsidiary CAO Fashion Co., Ltd.
3. Approving to promulgate the corporate governance regulation, effective from January 01, 2017. The regulation will replace the previous regulation which was promulgated on July 23, 2013.
4. Approving the organization structure of Phu Nhuan Jewelry Joint Stock Company. Effective time: after the 2017 Annual General Meeting of Shareholders.
5. Approving to seek shareholders’ approval for issuing shares via private placement to raise capital.
6. Approving to close the shareholder list for the purpose of seeking shareholders’ approval in writing for issuing shares via private placement. Record date: December 15, 2016.
7. Approving the resignation of Ms. Pham Vu Thanh Giang as Member of the Board of Directors, effective from November 24, 2016.
8. Approving to appoint Ms. Pham Thi My Hanh to the Board of Directors, effective from November 24, 2016. This appointment will be submitted to next general meeting of shareholders.

      9. Approving to appoint Ms. Pham Thi My Hanh to replace Mr. Le Huu Hanh as the representative for PNJ’s stake in CAO Fashion Co., Ltd. and the legal representative (title: BoD Chairman) of CAO Fashion Co., Ltd. from November 24, 2016.
