FPT: Board Resolution – Mar 2015

FPT Corporation announced the Board resolution in March 2015 as follows:

1)     Approving the plan of the annual general meeting of shareholders 2015

2)     Approving the report of the Board of Directors

3)     Approving the 2014 audited financial statements

4)     Approving the 2014 distribution profit, dividend in stock and plan cash dividend for 2015

-         2014 distribution profit: the Board of Directors proposes to pay 2014 cash dividend at 20% (VND2,000/share), in which:

• Interim dividend in Quarter 3, 2014: 10% (VND1,000/share)
• The remaining dividend will be paid after being approved by the AGM  of 10% (VND1,000/share)
• Time for payment: Quarter 2, 2015
• Authorized to the BỎD to implement in details of the execution of cash dividend payment

-         Stock dividend payment: the Board of Directors proposes to pay stock dividend from retained earnings to existing shareholders

• Pay stock dividend with ratio 15% (The one who owns 20 shares will receive 3 new shares as dividend). Additional shares will be listed after paying stock dividend
• Time for payment: in Quarter 2, 2015
• Authorized to the BỎD to implement in details of the execution of cash dividend payment

-         The cash dividend plan in 2015:

• Ratio of cash dividend payment in 2015 will be 20% (VND2,000/per share, based on the number of new shares after paying stock dividend of 15%)
• The ratio of cash dividend in 2015 will be decided by the 2016 AGM.
