PXS: Board resolution

Petroleum Equipment Assembly and Metal Structure Joint Stock Company announced the resolution of the Board of Directors dated January 30, 2013:

Article 1: The Board of Directors approved the results of issuing shares to increase its charter capital according Certificate No.49/GCN-UBCK dated October 30, 2012:

+  Issuing volume: 2,049,190 shares

+  Issuing price: VND10,000/share

+  Total issuing value: VND20,491,900,000

Article 2: The Board of Directors approved the unsold 20,461,611 will be continued to be distributed to existing shareholders and other investors at VND10,000/share.

Article 3: The Board of Directors assigned Director to implement necessary procedure.

Article 4: This resolution takes effect as from January 30, 2013.
