VNG: Board Resolution

Viet Nam Golf Tourism Joint Stock Company (VINAGOLF) announced the resolution of the Board of Directors on May 15, 2012:

-         Approving the income report of Quarter 1/2012 and business plan for Quarter 2/2012.

-         Authorizing Vinagolf’s CEO to use assets and land use right in Golf Can Tho Hotel to mortgage in BIDV - Ba Ria Vung Tau Branch for a 25-billion-dong loan in order to raise Vinagolf’s working capital and repair Vinagolf’s hotels.

-         Approving to continue finding strategic partners to transfer shares/assets to restructure Vinagolf’s capital resources.

-         Allowing Vinagolf to continue to sign loan agreements with Vinagolf’s employees and other resources (with an interest rate of 02%/month) to pay the principal debts and interest amounts of Vinagolf AngKor Hotel to Agribank – Cambodia Branch and to BIDC – Siem Reap Branch when Vinagolf has not enough funds.

-         Approving to issue additional shares to strategic partners in order to raise funds from VND130 billion to VND200 billion. Authorizing the CEO to plan the issuance.
