ADC: Results of General Meeting of Shareholders 2012
Art Design & Communication JSC has disclosed the results of its General Meeting of Shareholders. The following resolutions were approved:
1.Audited financial statement 2011:
- Profit before tax: VND 3,645,860,485
- Profit after tax: VND 2,652,377,930
- BOD and Supervisory board fund: VND 132,618,897
- Welfare fund: VND 132,618,897
- Reward fund: VND 132,618,897
- Financial reserve : VND 132,618,897
- Dividend payment: 17% (VND 1,700,000,000)
- Investment and development fund: VND 421,902,342
- Salary fund: VND 7,741,220,401
- Payment for the BOD and Supervisory board: VND 219,822,222
2.Operating plan 2012:
- Revenue: VND 60 billion
- Profit before tax: VND 3.6 billion
- Payment for the BOD and Supervisory board: VND 300,000,000
- Dividend payment: not under 15%/ year
- Financial reserve: 5% of profit after tax
- Reward fund: 5% of profit after tax
- Welfare fund: 5% of profit after tax
- Development and investment fund: rest of profit
- Repurchase shares for treasury stock
