APC: Resolution of the BOD
An Phu Irradiation JSC (HOSE: APC) announced the resolution of the Board of Directors:
Article 1: The Board of Directors approved financial norms in the first six months of 2011:
• Total revenue: VND 67,055,865,539
• Profit before tax: VND 21,006,815,320
• Profit after tax: VND18,384,084,812
Article 2: The Board of Directors assigned the Director General and the Project Management Unit to supervise the progress of An Phu – Binh Minh Project, in order to ensure the operation of plant in August 2011 as well as organize the opening ceremony of the plant on September 09, 2011
Article 3: The Board of Directors approved the fruit export plan but suggested that this field should need to be separated from the Company. The Company should establish subsidiaries for this field
The Board of Directors authorized the Management to prepare a project to establish subsidiaries of fruit export and to submit the project to the Board of Directors for approval. The personnel plan in three companies: An Phu Binh Duong, An Phu Binh Minh and Fruit Export Company will be completed in Quarter III/2011, and the subsidiaries will go into operation from January 01, 2012
Article 4: The Board of Directors approved to borrow from VND10 billion to VND15 billion to make up a deficit in short term. The Board of Directors authorized the Management to contact financial organizations to negotiate a suitable interest rate to pay the remaining works of An Phu – Binh Minh Project, so that the project can be put in operation on schedule
Article 5: The Board of Directors approved the resignation of Mr. Le Viet Ha from the Board of Directors and approved to appoint Ms. Vu Thi Thanh Ha to the Board of Directors to replace Mr. Le Viet Ha
Article 6: This resolution shall be effect from July 19, 2011.
