DAC: Results of Annual General Meeting of Shareholders 2011
Viglacera Dong Anh Joint Stock Company (HNX: DAC) has disclosed the results of its General Meeting of Shareholders. The following resolutions were approved:
1. Report of Operation result 2010 have been audited by Auditing and Accounting Financial Consultancy Service Company Limited
- Profit before tax: VND 8,324 million; 52% compared with the year resolution; decrease 46.1% compared to 2009 year
- Revenue: VND 53,561 million; 78.8% compared with the year resolution; decrease 10.8% compared to 2009 year
- Output: 70,678 million bricks QTC; 86.2% compared with the year plan; increase 1.27% compared to 2009 year
-Consumption output: 68,326.9 million bricks QTC; 82.3% compared with the year plan; decrease 16.79% compared to 2009 year
- Average income: VND 3.5 million/month; increase 15.2% compared with the year resolution; increase 4.73% compared to 2009 year
2. Approving profit distribution plan and dividend payment 2010
- Profit before tax: VND 8,324,010,772
- Income tax payable: VND 1,040,501,347
- Profit after tax: VND 7,283,509,425
- Investment & Development Fund: VND 4,115,561,425
- Bonus and welfare fund: VND 364,000,000
- Finance Reserve Fund: VND 728,000,000
- Profit after setting up funds: VND 2,075,948,000
- Dividend payment with rate of 20% of charter capital: VND 2,009,948,000
- Remuneration for Board of Directors: VND 66,000,000
- Retained earnings: VND 0
3. Operation plan 2011:
- Profit before tax: VND 13.7 billion
- Revenue: VND 98 billion
- Output: 96 million bricks QTC
- Consumption: 96 million bricks QTC
- Average income: VND 4,432,000/month
- Dividend payout rate: 20% of charter capital
4. Plans of construction investment in 2011 with total expected capital of VND 15,417 million
5. Remuneration for Board of Directors and Supervisory Board 2010:
- Total amount of remuneration of BOD and Supervisory Board: VND 97,800,000
+ Remuneration for BOD: VND 66,000,000
+ Remuneration for Supervisory Board: VND 31,800,000
6. Selecting auditor 2011
- Auditing and Accounting Financial Consultancy Service Company Limited is selected to be auditor 2011
- In case of changing auditor, Board of Directors is authorized to select auditor
7. Remuneration for BOD and Supervisory Board 2011
- Total amount of remuneration of BOD and Supervisory Board: VND 97,800,000
+ Remuneration for BOD: VND 66,000,000
+ Remuneration for Supervisory Board: VND 31,800,000
8. ReWard of Management Board 2011:
- If profit before tax is VND 13.7 billion, Management Board will be reWarded with bonuses of 1.5% of profit after tax
- If profit before tax is over VND 13.7 billion, Management Board will be reWarded with bonuses of 50% of exceeded profit after tax.
