AMV: Results of Extraordinary General Meeting of Shareholders 2010
American Vietnamese Biotech Incorporation JSC has disclosed the results of its Extraordinary General Meeting of Shareholders held on 03/09/2010. Participants were 20 representing 929,250 shares (Accounting for 44.25% of total voting rights).The following resolutions were approved:
1. Orientation and plan of operating of 2010
2. Abrogated plan of increase charter capital which approved by the General Meeting of Shareholders on 01/06/2010
3. Alternated Plan of seasoned issue for increase charter capital
• Stock type: Common
• Par value: VND 10,000
• Number of shares before seasoned issue: 2,100,000 shares
• Additional shares: 2,300,000 shares
• Total shares following seasoned issue: 4,400,000 shares
• Target subjects and prices of seasoned issue:
+ Outstanding shareholders: 2,100,000 shares; ex-rate: 1:1 (Shareholders are entitled to buy 01 new share for every 01 share they own) and price: VND 10,000/share
+ Staffs and officers: 100,000 shares and price: VND 10,000/share
+ Strategy shareholders and agencies: 100,000 shares and price: VND 12,000/share
• The number of shares shareholder can buy is rounded down to unit digit. The odd shares and shares unsold will be determined by the Board of Directors in terms of price and subject of the offering with the prices are not lower than VND 10,000.
• Plan for using of additional charter capital: Investment of operating plan
4. Registration, deposit and listing of additional shares and changing in business registration
Assigned BOD do the necessary procedures.
