PVR: Board Resolution
PetroVietnam Premier Recreation JSC announces the Board Resolution approved on 18/8/2010 as follows:
1. Agreed on Public offerings Documents in which:
- Total volume of shares to be offered: 30,000,000 shares
2. Results of the meeting on 16/8/2010:
- Adjustment of the company’s business and operation plan of 2010
- Agreed on business plan of Megastar Duminium – Vinh Hung Commercial center, Residental building
- Authorized the General manager to chose the right time to dispose its share holdings in companies after these shares was listed.
- Agreed on offering plan to employeees as follow:
+ Total offering volume: 1,500,000 shares
+ Offering price: VND 11,000/ share
+ Total par value of the offering: VND 15 bil
- Agreed to transform the company’s branch in Ba Vi into an independent legal entity, PVR hold the control position.
- Agreed to transform the Ha Long Project Management Board into an independent legal entity, PVR hold the control position
- Restructure the whole company to be suitable with the new business plan
- Agreed on First Dividend payment of 2010 plan
3. Submission to the General meetings of shareholders the following issues:
- Authorized the BOD the decided on investment projects of PVR when using the owners’ equity to invest in projects with value less than 50% of the company total assets
- Discharge Mr. Nguyen Quynh Nam from Member of Supervisory Board and Assigned Mr. Ho Dac Hieu as Member of Supervisory Board
- Discharge Mr. Vu Trong Toan from Chair of the Board and assigned Mr. Toan as Deputy Chair of the Board
- Assigned Mr. Nguyen Tuan Anh- General Manager in position of Chair of the Board and hold concurrently General Manager.
- Discharge Mr. Nguyen Ngoc Minh from Director.
- Amendment of the company’s charter.
