NST: Results of Annual General Meeting of Shareholders 2010
Ngan Son JSC has disclosed the results of its Annual General Meeting of Shareholders held on 28/4/2010. The following resolutions were approved:
1. Report of Operating result of 2009
- Revenue: VND 592,834,059,358
- Profit before tax: VND 15,604,940,591
2. Plan in 2010
- Revenue: VND 680 bil
- Profit before tax: VND 19.5 bil
- Payment to State budget: VND 9 bil
- Dividend payout ratio: 18%
3. Activities report of the BOD in 2009 and plan for 2010
4. Activities report of the Supervisory Board in 2009 and plan for 2010
5. Profit distribution plan for 2009:
+ Charter capital supplement fund: VND 583,847,000
+ Dividend payment (18% by cash): VND 7,043,639,400
+ Financial reserve fund (5% of profit after tax): VND 583,847,000
+ Reward fund: VND 333,539,000
+ Welfare fund: VND 350,308,000
+ Reward to Management Board: VND 200 mil
+ Development Investment Fund: VND 1,751,543,357
+ Retained earnings: VND 830,539,957
6. Choosing An Phu Auditing Company as auditor for auditing the Company’s 2010 financial statement
7. Payment for Board of Directors and Supervisory Board in 2009 and plan for 2010
8. Approval on record date for dividend payment of 2009 is 20/5/2010. Exercise date is within June, 2010.
9. Approval of report on equipment and machinery renovation and capacity building with total investment value of VND 115 bil. Expected to be completed within 1.5 years after the approved date.
