SD7: Results of Annual General Meeting of Shareholders 2010
Songda 7 JSC has disclosed the results of its Annual General Meeting of Shareholders held on 19/4/2010. The following resolutions were approved:
1. Report of Opearting result of 2009
- Revenue: VND 882.85 bil
- Profit: VND 60.72 bil
- Payment to state budget: VND 41.95 bil
- Total investment: VND 395.536 bil, in which:
+ Enhance construction equipment: VND 37.831 bil
+ Construction of infrastructure and urban area: VND 106.368 bil
+ Capital contribution to subsidiaries: VND 160.459 bil
+ Financial investment: VND 75.939 bil
+ Investment in joint venture companies: VND 1 bil
+ Infrastructure: VND 13.938 bil
2. Audited financial statement 2009 and Assigning the Board of Directors to choose auditor for auditing the Company’s financial statement
3. Profit distribution plan for 2009:
+ Profit for distribution: VND 32,691,459,341
+ Financial reserve fund: VND 1,634,572,967
+ Development and Investment Fund: VND 11,989,537,052
+ Reward and welfare fund: VND 4,549,448,572
+ Reward to Management Board: VND 500 mil
+ Dividend payout ratio/ Charter capital: 18%
4. Activities Report and Supervisory report of Supervisory Board in 2009
5. Plan in 2010
- Revenue: VND 1,290 bil
- Profit before tax: VND 84 bil
- Payment to state budget: VND 48.275 bil
- Assigning the BOD to develop and adjust the Investment plan to bring in the most benefit and report to the AGM 2010
6. Payment for Board of Directors, Supervisory Board, BOD’s Secretary in 2009 and plan for 2010.
7. Change in the Supervisory Board and BOD:
- Mr. Nguyen Hong Truong - Chief Accountant - has been appointed Director in place of Mr. Nguyen Sy Cat.
- Mr. Nguyen Thong Hoa - Director- has been appointed Chair of the Board in place of Mr. Nguyen Sy Cat
- Mr. Nguyen Van Viet has been appointed Member of Supervisory Board in place of Mr. Pham Dinh Hung
8. Approval of financial solutions for achieving operating plan of 2010.
