OPC: Resolution of the 2010 annual shareholders’ meeting

OPC Pharmaceutical Joint Stock Company (OPC) has announced the resolution of the 2010 annual shareholders’ meeting as follows:

Article 1: Approving the 2009 business results:

* Total revenue: 372,704,731,164 dongs

* Profit before tax: 63,016,362,886 dongs

* Profit after tax: 49,392,620,075 dongs

* Dividend paid in cash: 20%

* Average income of an employee: 6.2 million dongs/month

Article 2: Approving the 2009 reports of the BOD and the 2009 compensations for the BOD and the Supervisory Board.

Article 3: Approving the 2010 business plans:

* Total revenue: 290 billion dongs

* Profit before tax: 52 billion dongs

* Dividend : 20%

* Average income: 6.2 million dongs/month/person

Article 4: Approving the 2009 audited financial statements.

Article 5: Approving the 2009 reports of the Supervisory Board.

Article 6: Approving the 2009 profit distribution.

Article 7: Approving the supplement of the 2009 profit for:

* Supplementing 5% for the 2009 dividend. Therefore, the 2009 dividend was 25%

* Passing the remains of 2009 profit at 13,543,348,207 dongs to investment and development fund

Article 8: Approving IFC-ACA Group as the audit firm for the 2010 audited statements.

Article 9: Approving co-operation with EXIMLAND to found OPC-EXIMLAND Joint Stock Comapny (*) for deploying project at 1017 Hoang Bang St., Ward 12, Dist. 6, HCMC. with 50% capital ratio.

Article 10: Approving foundation of OPC-Bac Giang Pharmaceutical Joint Stock Company (*)

Article 11: Assigning the BOD to deploy and implement the resolution.

Article 12: The resolution is valid as from April 03, 2010.
