KLS: Result of private placement
Kim Long Securities Corporation announces the plan of stock private placement to increase Charter capital to VND 660 billion as follows:
- Name of the issuer: Kim Long Securities Corporation.
- Stock code: KLS
- Stock type: Common stock.
- Par value: VND 10,000.
- Total volume of shares to be offered: 6,000,000
- Total value of shares to be offered: VND 60,000,000,000
- Offering method : private placement (with less than 100 investors).
- Subject of the placement: individual and institutional investors including:
+ Investors who commit to establish a long-term tiding with the development of KLS;
+ Investors with appropriate strategies and organizational culture without conflicts with the development strategies of KLS;
+ Investors who show goodwill during the negotiation with financial capacity and commit full settlement;
- Offering price: not less than book value of stock on 30/06/2009.
Specific price for specific subject will be decided at the time of placement and based on negociation with specific subjects.
- Plan of using the proceeds:
+ Improve the operation of the Company
+ Upgrade the technological infrastructure as required by the SSC
+ Enlarge the market in the South.
- Time of placement: Quarter III and Quarter IV in 2009
- Dealing with undistributed shares: To be decided by the Board of Directors
- Depository and listing of additional shares: to be carried out by the BOD after the placement.
