SD9: Results of Annual General Meeting of Shareholders 2009
Song Da 9 JSC has disclosed the results of its Annual General Meeting of Shareholders. The following resolutions were approved:
1. Report of Operating result of 2008
- Operating result: VND 668.141 bil. (139% of the plan)
- Revenue: VND 610.643 bil. (130% of the plan)
- Profit: VND 57.442 bil. (164% of the plan)
- Dividend payout ratio: 15%
2. Plan in 2009
- Operating result: VND 560 bil.
- Revenue: VND 545.454 bil.
- Profit: VND 57 bil.
- Dividend payout ratio: 15%
- Investment: VND 197.457 bil.
3. Report of Supervisory Board’s activities
4. Audited financial statement 2008 and profit distribution plan:
- Profit after tax: VND 44.4 bil.
- Investment and Development Fund: VND 17.28 bil. of which: Reduced tax used to supplement the Investment and Development Fund: VND 6,517 bil.
- Financial reserve fund: VND 2.19 bil.
- Reward and welfare fund: VND 7.9 bil.
- Dividend payment 2008 (15%): VND 22.5 bil.
- Retained earnings: VND
- Remuneration for Management Board and Supervisory Board: VND
5. Payment for Board of Directors and Supervisory Board 2008
6. Assign the Board of Directors to approve:
- Raise capital for operation providing that debt/owner’s equity of the company will not be excess 3 times. In case of beyond this stipulation, General Meeting of Shareholders will decide.
- Select auditing company 2009
- Procedures to carry out urban projects and small and medium sized hydro power projects.

- Trung Son Tram Urban area project in Son Tay; Binh Tan urban area project in HCM city
