PVG: Results of Annual General Meeting of Shareholders 2009

Petrovietnam Nothern Gas JSC has disclosed the results of its Annual General Meeting of Shareholders. The following resolutions were approved:

1. Report of Operating result of 2008

2. Plan in 2009

- Revenue: VND 1,175  bil.

- Profit before tax: VND 24.2 bil.

- Profit after tax: VND 21.57 bil.

- Dividend payout ratio: 7%

- Financial reserve fund: VND 1.078 bil.

- Reward and welfare fund: VND 1.730 bil.

- Remuneration for Management Board and Supervisory Board: VND 129,420,000

3. Report of Supervisory Board’s activities

4. Audited financial statement 2008 and profit distribution plan:

- Profit after tax: VND 7.805 bil.

- Investment and Development Fund: VND 0

- Financial reserve fund: VND 0

- Reward and welfare fund: VND 350,325,962

- Dividend payment 2008 (3%):  VND 7.985 bil.

- Remuneration for Management Board and Supervisory Board: VND 0

5. Payment for Board of Directors and Supervisory Board 2009

6. Auditing company in 2009

- Deloitte Vietnam Auditing Company

7. Amendmend of charter of the company:

- New charter capital: VND 266,170,000,000

8. Moving the listing to HOSE.

9. Change in the Supervisory Board:

- Ms. Do Thi Bich Quyen has been appointed member of Supervisory Board in place of Ms. Nguyen Thi Kim Anh.
