MIC: Results of Annual General Meeting of Shareholders 2009
Quang Nam Mineral Industry Corporation has disclosed the results of its Annual General Meeting of Shareholders held on 26/04/2009. The following resolutions were approved:
1. Audited financial statement 2008; Report of the Board of Directors and Supervisory Board; selecting Auditing and Accounting Company Ltd as auditor of the company in 2009
2. Dividend payment plan 2008:
- Dividend payment in cash with the rate of 19%:
+ !7% was made for the first dividend payment
+ 2% will be made when the Boards of Directors decide the record date for dividend payment
3. Remuneration in 2009
- For the Board of Directors and secretary: VND 270,000,000
- For Supervisory Board: VND 78,000,000
- Management expenses: VND 120,000,000
4. Cancelled plan to issue 910,750 new shares to increase Charter Capital
5. The Board of Directors will select one plan below, which will bring back more advantages, :
- Plan 1: Issue 1,010,760 shares for shareholders with the rate of 15:10. The rest will be offered to Directors, Supervisory Board, secretary and staff with price of VND 15,000/share
- Plan 2: issue 1,500,000 shares for shareholders with price of VND 10,000/share and for the staff according to Chapter 1, section 87 of Enterprise law
- Plan 3: issue 700,000 shares for shareholders with the rate of 4:1 and price of VND 15,000/share. The rest will be offered to strategic shareholders with price of VND 30,000/share
- Plan 4: issue 1,010,760 shares which include bonus shares (from Share premium fund) for shareholders with rate of 3:1. The rest will be offered strategic shareholders with price of VND 30,000/share
6. Change in section 3 Chapter 11, section 2 chapter 24 of Company ‘s Charter
