VGS: Results of Annual General Meeting of Shareholders 2009
Vietnam Germany Steel Pipe JSC has disclosed the results of its Annual General Meeting of Shareholders held on 21/03/2009. The following resolutions were approved:
1. Audited financial statement 2008 and profit distribution plan:
- Total revenue: VND 1,081,147,648,808
- Profit after tax: VND 14,646,762,302
- Profit after tax/Charter capital: 11.6%
- Profit distributed in 2008: VND 3,641,535,755
+ Investment and development fund: 10% (VND 1,456,614,302)
+ Financial reserve: 5% (VND 728,307,151)
+ Reward and Welfare fund: 10% (VND 1,456,614,302)
- Retained profit 2008: VND 11,005,226,547
- Dividend payment 2008 (6% in cash): VND 7,559,826,000
2. Plan 2009
- Revenue: VND 1,050,000,000,000
- Profit before tax: VND 19,000,000,000
- Profit after tax: VND 17,400,000,000
- Profit from VGI company: VND 200,000,000
- Total profit after tax: VND 17,600,000,000
- Dividend payout ratio 2009: 10%
- Remuneration for Management Board and Supervisory Board 2008: VND
3. Remuneration for Management Board and Supervisory Board 2009:
+ Chairman of the Board: VND 1,000,000/month
+ Directors and Chief of Supervisory Board: VND 500,000/person/month
+ Directors and member of Supervisory Board: VND300,000/person/month
4. Auditing company in 2009
- The General Meeting of Shareholders assigned the Board of Directors to choose the auditing company approved by the SSC
