SSM: Results of Annual General Meeting of Shareholders 2009
Steel Structure Manufacture JSC has disclosed the results of its Annual General Meeting of Shareholders held on 26/03/2009. The following resolutions were approved:
1. Audited financial statement 2008 and profit distribution plan:
- Profit before tax: VND 11,919,024,914
- Income tax: VND 1,334,196,083
- Profit after tax: VND 10,584,828,831
+ Production development fund: VND 1,691,437,639
+ Financial reserve: 5% (VND 444,669,560)
+ Reward fund: 5% (VND 444,669,560)
+ Reward fund: 5% (VND 444,669,560)
- Retained profit 2008: VND 8,893,391,192
- Dividend payment 2008 (27.51%): VND 7,559,382,513 in which:
In cash (paid in advance 10%): 20.51%
By share: 7%

2. Remuneration for Management Board and Supervisory Board 2009:
+ Chairman of the Board: VND 1,800,000/month
+ Directors and Chief of Supervisory Board: VND 1,400,000/person/month
+ Member of Supervisory Board and Secretary: VND 1,100,000/person/month
3. Auditing company in 2009

4. Management Board (4 members): 1 Manager and 3 Deputy Managers
5. Amendmend of the charter:
- Chapter X, Article 35,
Clause 2: Shareholders who keep less than 10% of the stock have rights to vote for a consecutive time of at least 6 months and gather votes to nominate candidates for the Controlling unit. Shareholders or group of shareholders who keep less than 10% of share have rights to vote for a consecutive time of at least 6 months to nominate a member; from 10% to less than 30% of share have rights to nominate two members; from 30% to less than 50% have rights to nominate three members; from 50% to less than 65% have rights to nominate four members and over 65% have rights to nominate full number of candidates.
Clause 5: Will be deleted in the charter
