SVC: Results of Annual General Meeting of Shareholders 2009
Saigon General Service Corporation has disclosed the results of its Annual General Meeting of Shareholders held on 15/04/2009. The following resolutions were approved:
1. Report of Opearting result of 2008
- Consolidated revenue: VND 2,120,656 mil.
- Profit before tax: VND 61,866 mil.
- Profit after tax: VND 55,292 mil.
2. Plan in 2009
- Consolidated revenue: VND 2,250,000 mil.
- Profit before tax: VND 70,500 mil.
- Profit after tax: VND 54,500 mil.
- Dividend payout ratio: 10%
3. Report of Supervisory Board’s activities
4. Audited financial statement 2008 and profit distribution plan:
- Profit after tax of Savico: VND 30,772 mil.
- Retained profit after tax of Savico in associated companies: VND 9,180 mil.
- Profit for distribution: VND 17,871 mil.
- Dividend payment 2008 (13%): VND 15,547 mil.
- Reward and welfare fund: VND 1,787 mil.
- Fund for activities of Board of Directors and Supervisory Board: VND 536 mil.
5. Assign the Board of Directors to decide some issues as follow:
- Setting up, dismissing, merging branches, representative offices, affiliated, associated companies...
- Registering for change, supplementing business lines...
- Rearrange management and director boards.
- Plan to use treasury stock
- Continuing the private placement of 4,634,533 shares with principal, strategic investors for the plan to increase charter capital.
- Working expense of Board of Directors and Supervisory Board no more than 5% profit after tax.
- Adjusting business plan 2009 in case of bad situation.
