DPR: Resolution of the annual shareholders’ meeting
Dong Phu Rubber Joint Stock Company (DPR: DORUCO) has informed of resolution of the annual shareholders’ meeting as follows:
* Report on the 2008 audited financial statement.
* Report of the BOD and Supervisory Board.
* Plan of profit distribution for 2008:
+ Financial reserve fund: 10% of profit after tax
+ Welfare and bonus fund: 15% of profit after tax
+ Dividend payment to shareholders: 20% of chartered capital
* Business plan and profit distribution for 2009:
+ Total sales: VND452.4 billion
+ Profit before tax: VND94.3 billion
+ Welfare and bonus fund: 10% of profit after tax
+ Financial reserve fund: 10% of profit after tax
+ Dividend pay-out ratio: 15%/chartered capital
*Plan of contributing capital to four projects worth of VND114.6 billion.
* Contributing capital to the Rubber infrastructure construction Co., Ltd for the second stage of the project.
* Compensation for the BOD and Supervisory Board for 2009 with total value of VND492 million.
* Passing the issue that chairman of the BOD who is also General Director.
* Choosing the Auditing and Accounting Financial Consultancy Service Company (AASC) for 2009
* Passing ceasing the issuance of additional shares which was planned in 2008.
