TNC: Resolution of BOD

Thong Nhat Rubber Joint Stock Company (TRC) has informed of resolution of BOD as follows:

Article 1: Business result and distributing profit for 2008 as follows:

- Total sales in 2008: VND181,784,288,762 (year 2007: VND165,706,086,735)

- Profit before tax in 2008: VND8,201,551,352 (year 2007: VND33,963,177,953)

- Distributing profit:

* Deducting for remained corporate tax: VND2,296,434,379

* Deducting for funds: VND1,476,279,243

In which:

* Development investment fund: VND590,511,697

* Reward fund: VND413,358,188

* Welfare fund: VND177,153,509

* Financial reserve fund: VND295,255,849

- Compensation of BOD, Supervisory Board: VND167,500,000

- Remaining profit: VND4,261,337,730

- Remained profit of 2007: VND1,854,597,401

- Expected dividend pay-out ratio: 3% chartered capital (VND300/share)

- Total expected dividend pay-out value: VND5,775,000,000

* Remained profit: VND340,935,131

Actual business result in 2008 did not reach the plan of the company, compensation for the BOD and Supervisory Board was 0,3% of profit: VND8,201,551,352 * 0.3% = VND24,604,654. However, the company paid in advance the amount of VND167,500,000 in 2008.

In fact, business result in 2008 decreased due to the global economic recession. Members of BOD and Supervisory Board tried their best to minimize loss of the company.

Article 2: Authorizing the Management Board to do the following issues

+ Planning organizational structure, production management. Time of this plan: no later than end of Q2/2009.

+ Setting business plan for factories: Phuoc Hung agricultural product processing factory, Hung Long cattle food processing factory, Phuc Trung wood processing factory.

+ Setting plan of purchasing latex and producing finished products.

+ Arranging work for workers in subsidiaries.

+ Rewarding to Phuoc Hung agricultural product processing factory due to its outstanding performance in 2008.

Article 3: Approving time of the annual shareholders’ meeting for 2009 as follows:

* Report of the BOD and Supervisory Board

* Audited financial statement of 2008
