HUB: BOD resolution dated October 27, 2022

The Board resolution dated October 27, 2022, the BOD of Thua Thien Hue Construction Joint Stock Corporation approved the following contents:

1. Approved the result of stock issuance for 2021 dividend payment and stock issuance for increasing capital from the owner’s equity:

A. Issuance plan:

-          Stock name: Thua Thien Hue Construction Joint Stock Corporation

-          Stock type: common share

-          Number of shares issued: 19,057,316 shares

-          Number of outstanding shares: 19,057,316 shares

-          Number of treasury shares: 0 share

-          Number of shares expected to be issued: 3,811,462 shares; Of which:

+ Stock issuance for 2021 dividend payment: 2,858,597 shares

+ Stock issuance for increasing capital from the owner’s equity: 952,865 shares

-          Exercise ratio: 20%; Of which:

+ Stock issuance for 2021 dividend payment: 15% (Those who own 100 shares will receive 15 new shares)

+ Stock issuance for increasing capital from the owner’s equity: 5% (Those who own 100 shares will receive 05 new shares)

-          Plan to deal with fractional shares: The distributed shares will be rounded down to units, the fractional shares (if any) will be cancelled.

-          Ending date: October 24, 2022

-          Time for transferring shares: expected in Quarter 4/2022.

B. Issuance result:

-          Number of distributed shares: 3,811,079 shares; Of which:

+ Number of distributed shares to shareholders according to the rate 15%: 2,858398 shares for 1,085 shareholders

+ Number of fractional shares: 199 shares.

+ Number of distributed shares to shareholders according to the rate 5%: 952,681 shares for 1,085 shareholders

+ Number of fractional shares: 185 shares

-          Total shares after the issuance (October 24, 2022): 22,868,395 shares; Of which:

+ Number of outstanding shares: 22,868,395 shares

+ Number of treasury shares: 0 share.

2. Approved the increase of the Company’s charter capital from VND190,573,160,000 to VND228,683,950,000.
3. Approve the amendment of the Company’s charter with new charter capital of VND228,683,950,000, equivalent to 22,868,395 shares.
