PDR: Resolution on the AGM in 2022

On March 26, 2022, Phat Dat Real Estate Development Corp announces the Resolution of the Annual General Meeting 2022 to approve the following contents:

1. The AGM approved the report on the BOD activities in 2021.
2. The AGM approved the audited financial statements in 2021.
3. The AGM approved the business result in 2021:

-          Net sales: 3,620 billion dongs

-          Profit before tax: 2,344 billion dongs

-          Profit after tax: 1,861 billion dongs

-          Profit after tax of parent company’s shareholders: 1,865 billion dongs.

4. The AGM approved the profit distribution in 2021:

-          To pay remuneration and operating expenses of the BOD in 2021: 5,460,000,000 dongs

-          Remaining profit of previous years and profit after tax of 2021 of 1,866 billion dongs will be distributed as follows:

• Appropriation to Investment and Development fund (1.5% profit after tax of 2021): 27.97 billion dongs
• Appropriation to Reward and Welfare fund (1.5% profit after tax of 2021): 27.97 billion dongs
• Appropriation to bonus fund to the BOD (0.4% profit after tax of 2021): 7.46 billion dongs
• To pay dividend: 1,794.13 billion dongs.

5. The AGM approved the plan for stock issuance to pay dividend in 2021:

-          Stock name: Phat Dat Real Estate Development Corp

-          Stock code: PDR

-          Stock type: common share

-          Number of shares issued: 492,771,916 shares

-          Number of outstanding shares: 492,771,916 shares

-          Number of shares expected to be issued: 178,876,205 shares

-          Total value of issuance (at par value): VND1,788,762,050,000

-          Exercise raito: 36.3% (Those who own 1,000 shares will receive 363 new shares)

-          Plan to deal with fractional shares: The distributed shares will be rounded down to units, the fractional shares (if any) will be cancelled.

-          Transfer restriction: none

-          Time of implementation: expected in Quarter 2/2022.

6. The AGM approved the business plan in 2022:

-          Revenue: 10,700 billion dongs

-          Profit before tax: 3,635 billion dongs

-          Profit after tax: 2,908 billion dongs.

7. The AGM approved the plan for profit disribution in 2022:

-          Profit before tax:   3,635 billion dongs

-          Profit after tax: 2,908 billion dongs

-          Plan to distribute profit in 2022:

• Appropriation to Investment and Development fund: maximum 3% profit after tax
• Appropriation to Reward and Welfare fund: maximum 3% profit after tax
• Dividend payment: minimum 93% profit after tax.

8. The AGM approved the selection of Ernst & Young Vienam Company Limited as the auditor for the financial statements in 2022.
