ADG: Contributing the additional capital in subsidiary

The Board resolution dated February 11, 2022, the BOD of Clever Group Corporation approved the following issues:

1. Approving the additional capital contribution in Clever Review Corporation. Details are as follows:

-          Total capital before additional contribution: 10,500,000,000 dongs, equivalent to 1,050,000 shares, accounting for 70% charter capital of Clever Review Corporation.

-          Additional contribution capital: 10,500,000,000 dongs

-          Toal capital after additional contribution: 2,100,000 shares, equivalent to 21,000,000,000 dongs, accounting for 70% charter capital of Clever Review Corporation.

2. Approving the capital contribution to establish a subsidiary:

-          Company name: OJO Electronic Trading Joint Stock Company

-          Contribution capital value: 450,000,000 dongs, equivalent to 45,000 shares in OJO Electronic Trading Joint Stock Company

-          Ownership ratio: 90% charetr capital of OJO Electronic Trading Joint Stock Company.
