BKG: Board resolution on investing in Cat Tuong Thien Mai Chau According to the Board resolution dated November 11, 2021, the Board of Directors of BKG VietNam Investment Joint Stock Company approved the following issues:
Article 1: Approving to purchase the shares of Cat Tuong Thien Mai Chau Joint Stock Company:
1) Information on the target company:
- Company name: Cat Tuong Thien Mai Chau Joint Stock Company
- Head office: Mo Hamlet, Chien Chau Commune, Mai Chau District, Hoa Binh Province
- Charter capital: VND300 billion
- Project: Tong Dau – Mai Chau Resort Project
2) Information on the stock:
- Estimated buying volume: 18,000,000 shares
- Estimated buying price: VND10,000/share
- Total estimated buying value: VND180 billion
- Owning volume after trading: 18,000,000 shares (60% of Cat Tuong Thien Mai Chau Joint Stock Company)
- Trading time: after the Company completes the private placement of shares.
Article 2: Approving to implement the private placement of shares which was adopted by the Extraordinary General Meeting of Shareholders on October 26, 2021.
Plan for the proceeds from the private placement:
- To increase capital in BKG Tan My Co., Ltd. to implement BKG Vietnam Wood Factory Complex Project: VND110 billion;
- To buy shares at Cat Tuong Thien Mai Chau Joint Stock Company to invest in Tong Dau – Mai Chau Resort Project: VND180 billion
- To increase the working capital: VND10 billion;
- Total expected mobilized capital: VND300 billion. HOSE
