NAF: Approving the plan to issue shares for Endurance

On March 24, 2020, Nafoods Group Joint Stock Company (NAF) announces the Resolution of General Meeting of Shareholders in the form of collecting written opinions on the approval of the plan for the private placement of shares for Endurance Capital Vietnam I Ltd as follows:

-       Stock name: Nafoods Group Joint Stock Company

-       Stock type: common share

-       Par value: VND 10,000/share

-       Expected offering volume: 905,950 shares, equivalent to 2.04% number of outstanding voting shares

-       Total value (based on par value): VND 9,059,500,000

-       Offering price: 13,043 dongs/share

-       Offering method: private placement

-       Offering partner: Endurance Capital Vietnam I Ltd (Endurance is a major shareholder who is holding 6.92% number of outstanding voting shares of NAF).

-       Purpose: to supplement working capital

-       These shares will be restricted in 01 year from the finish date of the offering.

-       Time of implementation: in 2020 after being approved by the State Securities Commission of Vietnam (SSC).
