1. The Board of Directors approved to buy shares issued by Everland Travel and Entertainment Joint Stock Company (now is Crystal Holidays Joint Stock Company):

- Charter capital: VND20,000,000,000
- Current stock volume: 2,000,000 shares
- Expected issue volume: 13,000,000 shares
- Par value: VND10,000/share
- Stock type: common share
- Total value: VND130,000,000,000
- Charter capital after the issuance: VND150,000,000,000
- Number of registered shares to buy by Everland: 7,200,000 shares
- Total value: VND72,000,000,000

- Current ownership ratio of Everland: 87% charter capital
- Everland’s ownership ratio after the stock issuance to raise capital: 60% charter capital.
2. The Board of Directors approved to transfer the whole of 4,000,000 shares of An Viet Land Joint Stock Company with the transfer value of VND100,000,000,000. The proceeds from the transfer of shares of An Viet Land Joint Stock Company will be used for payment of the number of additional shares issued of Everland Travel and Entertainment Joint Stock Company and other business activities.
