TTF: BOD resolution on a merger between TTF and STT On November 13, 2018, the Board of Directors issued Resolution No.22/2018/NQ-HĐQT on a merger between Truong Thanh Furniture Corporation (TTF) and Thien Thanh Sanitaryware Joint Stock Company (STT) as follows:
- Approving to implement the stock offering to convert STT’s shares according to the merger plan approved by the General Meeting of Shareholders.
- Approving the plan for stock offering:
- Stock name: Truong Thanh Furniture Corporation
- Stock type: common share
- Par value: VND10,000/share
- Offering volume: 96,590,469 shares
- Total value (based on par value): VND965,904,690,000
- Offering method: private placement to convert STT’s shares
- Transfer restriction: 01 year from the finish date of the offering
- Convertible ratio: to convert 8.21 TTF’s shares to receive 01 STT’s share
- The number of converted shares bought by STT’s shareholder will be rounded down to dozens, the fractional shares will be cancelled.
- For example: At the record date, the shareholder A owns 35 shares of STT. With 8.21:1 performing ratio, the shareholder A will receive: 35 * 8.21 = 287.35 shares of TTF. According to rounding policy, the shareholder A receives 287 shares. The fractional shares of 0.35 will be cancelled.
