HBC: BOD resolution on stock issuance under ESOP

The Board resolution dated October 29, 2018 approving to issue shares to employees (ESOP) with the following contents:

1. Approving to issue 1,300,000 shares to employees

-       Stock name: Hoa Binh Construction Group Joint Stock Company

-       Stock type: common share

-       Par value: VND10,000/share

-       Number of shares expected to be issued: 1,300,000 shares, accounting for 0.67% number of outstanding shares

-       Total value (based on par value): VND13,000,000,000

-       Issue price: VND10,000/share

-       Time for transfer restriction: none

-       Time of implementation: Q4.2018

2. Approving the list of employees that the company distributed the preferred shares to employees in 2018.
3. Approving to register to deposit at the Vietnam Securities Depository (VSD) and list on the Hochiminh Stock Exchange (HOSE) for the new shares of stock issuance under ESOP.
4. Approving to change its Business Registration Certificate and amend its charter.
