MEF: Annual General Mandate 2018
On 15 Apr 2018, MEINFA Joint Stock Company announced the Annual General Mandate 2018 as follows:
Article 1: Approve the report on production and business results of 2017, the audited financial statement 2017 and the 2017 profit distribution plan
1. The production and business results in 2017
- Revenue in 2017 got VND 321,706,766,358, equivalent to 110.1% year on year (it was VND 292,180,293,947 in 2016);
- Profit after tax in 2017 reached VND 31,025,368,814, equivalent to 114.2% year on year (it was VND 27,156,181,384 in 2016);
2. The 2017 profit distribution plan:
- Total profit after tax: VND 31,025,368,814
- Dividend payment: 35% in cash, or transfer (01 share will receive 3,500 dongs). Payment date: From May 28th, 2018 to July 15th, 2018
Article 2: Approve the production and business plan in 2018
1. The production and business plan in 2018
- Revenue: Total revenue will get 485 billion dongs
- Profit after tax: 27.1 billion dongs
- Dividend payment: 30% (01 share will receive 3,000 dongs)
2. The investment plan in 2018: 25.7 billion dongs, in which:
- Van Xuan Company: 2.5 billion dongs to purchase CNC milling machine
- Mechanical and Electric Company: 3.2 billion dongs to build factory and purchase equipment;
- Tam Huu Company: 14.0 billion dongs to construct heat treatment plant, purchase heat treatment equipment and billet manufacturing equipment;
- Mechanical Company: 6 billion dongs to build up mechanical factory
Article 3: Approve 2017 operation reports of Board of Directors , General Director and members of Board of Directors;
Article 4: Approve Supervisory Board’s report on the Company’s production and business results; report on operational results of Board of Directors and General Director and report on self-assessment of Supervisory Board in 2017;
Article 5: Approve some related points:
- Select the auditing company to audit the financial statements of the Company from 2018 to 2023: AASC Auditing Firm Co., Ltd
- Select the supplier to export commodities from 2018 to 2023: Vinh An Co., Ltd
- Supplement additional Charter capital for member companies (Total Charter capita supplemented was 5 billion dongs), in which:
- Tam Huu Co., Ltd: be supplemented additional 2 billion dongs;
- Mechanical Co., Ltd: be supplemented additional 3 billion dongs;
- Convoke the annual General Meeting of Shareholders from 2018 to 2023: Representative of the group of shareholders owning from 0.5% of total Charter capital and more.
Article 6: Approve members of Board of Directors and Supervisory Board in term of 2018 to 2023:

Article 7: This Annual General Mandate was approved by Annual General Meeting of Shareholders 2018 of MEINFA Joint Stock Company at 12:55, April 15th, 2018.
Authorize Board of Directors to implement the Annual General Mandate 2018 in accordance with law and the Company’s Charter. Board of Directors is responsible for reporting the result of performance of the Annual General Mandate 2018 to General Meeting of Shareholders in next annual meetings.
