GTN: BOD resolution on choosing strategic investor & change of personnel

The BOD  approved contents:

1)    Choosing strategic investor to issue new shares via private placement to raise its charter capital to VND1,500 billion:

-       Name of strategic investor: Tael Two Partners Ltd (Tael Two).

-       Issue volume to Tael Two: 30,000,000 shares (20% of charter capital after issuing).

2)    Mr. Michael Louis Rosen replaced Ms. Bui Thi Thanh Hai as a member of the BOD.

Mr. Michael Louis Rosen was appointed as Deputy Chairman of the BOD.

Mr. Nguyen Tran Quang replaced Mr. Nguyen Phuoc Nhat as Deputy CEO.

3)    The BOD approved to organize the annual general meeting of shareholders 2016  (2016 AGM):

-       Record date:       February 03, 2016

-       Meeting date:      Expected in April/2016

-       Meeting venue: The BOD authorized the CEO to choose meeting venue
