DCL: Board Resolution on ESOP 2015

Cuu Long Pharmaceutical Joint Stock Corporation announced the board resolution dated April 09, 2015 regarding the implementation of ESOP 2015:

Article 1: The Board of Directors approved the implementation of the first stage of stock issuance to the Corporation’s managers (ESOP 2015) as follows:

-          Total number of shares: 9,913,692 shares

-          Number of outstanding shares: 9,913,692 shares

-          Number of treasury shares: 0 shares

-          Number of shares register to issue: 145,788 shares

-          Total issue value (based on par value): VND1,457,880,000

-          Issue ratio: 1.47%

-          Issue price: VND15,000/share

-          Transfer restriction: 03 years from the date of distribution.

-          Time of implementation: Quarter II.2015

Article 2: The Board of Directors approved the plan for using the proceeds from ESOP 2015

-          Total proceeds: VND2,186,820,000.

-          Plan for using the proceeds: to increase the working capital
